These truepay Global Terms of Service (the “Terms of Service” or the “Terms”) constitute a legally binding agreement between the User (defined below) of the Platform (defined below) (“you” or “your”) and truepay, inc. (together with its Affiliates (defined below), “truepay”, “we”, “us” or “our”) governing your use of truepay’s websites (including www.truepayapp.com) (together, the “Sites”), mobile applications (together, the “Apps”), and related services, information and communications (collectively referred to herein as the “Platform” or the “truepay Platform”).
The use of all personal data you submit to the Platform or which we collect about you is governed by our Privacy Policy.
These Terms, together with the Privacy Policy (which are each incorporated by reference, and referred to collectively, herein as the “Agreement”), governs your access to and use of the Platform. The Agreement also includes all other supplemental policies and terms referenced and/or linked to within these Terms or which are otherwise made available to you, all of which also apply to your use of the Platform and are incorporated into the Agreement by reference
BY ACKNOWLEDGING THE TERMS OF SERVICE AND/OR ACCESSING AND USING THE PLATFORM, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOU HAVE READ AND UNDERSTAND AND AGREE TO BE BOUND BY (WITHOUT LIMITATION OR QUALIFICATION), THE AGREEMENT (INCLUDING, ALL TERMS INCORPORATED HEREIN BY REFERENCE).
A. Online Marketplace
The Platform operates as a web- and app-based two-sided marketplace that enables connections between Clients and Providers. “Clients” are individuals and/or businesses seeking to procure short-term services (“Jobs”), while “Providers” are businesses offering to perform such Jobs. Clients and Providers may similarly connect and procure short-term services with other Clients and Providers. Together, Clients and Providers are referred to as “Users.”
Providers act as independent business entities, performing services under their own name or business name, utilizing their own tools and resources, and not under the branding of truepay. Providers independently set their rates for Jobs. Providers may (i) maintain an independent client base without restriction from truepay; (ii) offer services through other platforms or channels, including competitors; and (iii) accept or decline any Client or Service Agreement (as defined below). Providers are independent contractors with respect to Clients, and Clients are therefore clients of the Providers, not of truepay.
Any statement or designation referring to a Provider as licensed, credentialed, “badged,” “reliable,” “elite,” “great value,” “background checked,” “vetted,” “trusted”, or using similar terminology solely indicates that the Provider has completed the relevant account registration process or met certain criteria. Such designations do not constitute endorsements, certifications, or guarantees by truepay regarding the Provider’s skills, qualifications, licensing, insurance, reliability, trustworthiness, safety, or suitability. These designations are provided solely to assist Clients in evaluating Providers.
Clients bear the responsibility for selecting Providers and determining the scope of Jobs. Clients must exercise their own judgment, including conducting any research necessary, to ensure that a chosen Provider possesses the requisite qualifications and expertise to perform the Job.
B. truepay’s Role
The Platform does not operate as an employment agency, and truepay is not an employer of any User. Users shall not be considered employees, partners, representatives, agents, joint venturers, independent contractors, or franchisees of truepay.
Users acknowledge and agree that: (a) truepay does not (i) perform Jobs or employ individuals to perform Jobs; (ii) supervise, scope, direct, control, or monitor Providers’ work, including without limitation setting work locations, hours, or terms of engagement, nor provide tools, supplies, or pay any expenses of Providers; and (iii) exercise any control over the quality, timing, legality, or fulfillment of Jobs or over Users’ acts or omissions, or the integrity, competence, qualifications, communications, or ratings and reviews of Users; and (b) the execution of a Service Agreement shall not, under any circumstances, create any obligation, liability, or employment relationship for truepay, nor any relationship between truepay and any User, or between a Client and a Provider. Users have no authority to act as agents of truepay, bind truepay, or make any representations on its behalf, including any modification of truepay’s fees (see Section 3).
By using the Platform, Users agree that truepay shall have the exclusive right, but not the obligation, to mediate or arbitrate any disputes, claims, or disagreements arising between a Provider and a Client in connection with the Platform or a Service Agreement. Users acknowledge and agree that truepay, in its sole and absolute discretion, shall have the authority to determine whether any refund, payment, or other remedy is warranted, and the amount and timing thereof. Users further agree that any determination or decision made by truepay in such capacity shall be final, binding, and enforceable against all parties, and that truepay shall have no liability for any such decision, action, or inaction in connection with such dispute resolution.
truepay shall not be responsible or liable for workers’ compensation, taxes, or any withholdings, including but not limited to sales taxes, HST/QST/GST/PST, unemployment or employment insurance, Canada Pension Plan, disability insurance, VAT, National Insurance, employer liability, employer training tax, social security contributions, PAYE, or other payroll withholdings arising from a User’s use of the Platform, or for personal income tax. Providers assume full and sole responsibility for all applicable income taxes and social contributions, including Social Security or National Insurance Contributions, for themselves and for any individuals engaged in performing Jobs. Each User bears full responsibility for the proper classification of any workers under applicable legal requirements.
C. License
Subject to your strict compliance with this Agreement, including, without limitation, these Terms and truepay’s Acceptable Use Policy, truepay hereby grants you a limited, non-exclusive, non-transferable, and revocable license to: (i) access and utilize the Platform in the jurisdictions where it is available; (ii) download, install, and use the App on your personal device solely for purposes of interacting with the Platform; and (iii) view and access any content, materials, or information made available through the Platform, exclusively for your personal use and the intended purpose of the Platform. All Users must adhere to the Acceptable Use Policy when accessing or using the Platform. Users are expressly prohibited from copying, reproducing, modifying, redesigning, reverse engineering, disassembling, or otherwise exploiting the Platform or any part thereof without prior written authorization from truepay. All rights not expressly granted herein are reserved by truepay.

A. Registration.
You are required to register and establish an account in order to access and use the Platform, and must provide complete, truthful, and accurate information at all times, including, without limitation, your legal name, business name, mailing address, email address, and telephone number. You agree to promptly update truepay in the App regarding any changes to your account information. For changes relating to telephone number ownership, you may notify truepay by replying STOP to any messages sent to the retiring number. Failure to provide, or to maintain, accurate and up-to-date account information may result in restricted access to the Platform and/or termination of this Agreement by truepay. truepay reserves the right, in its sole discretion, to deny registration or limit access if it determines that a registrant may pose a risk to the safety, security, or integrity of the Platform, or if such action is reasonably necessary for other business concerns.
B. Account Security.
You are solely and fully responsible for safeguarding the confidentiality of any login credentials, passwords, and account numbers issued to you or used to access the Platform. You are likewise responsible for all activity that occurs under your account or credentials, whether or not such activity is authorized by you. truepay does not exercise control over any User account. You agree to notify truepay immediately upon becoming aware of any unauthorized access, use of your account or credentials, or any other security breach affecting your account.
C. Provider Onboarding
(i) Background Checks. Where permitted under applicable law, providers may be required to undergo a review process prior to registration on the Platform and during their continued use thereof. Such review process may include, without limitation, identity verification and criminal background checks conducted by third-party service providers (“Background Check(s)”). By using the Platform, you consent, to the extent allowed by law, to undergo such Background Checks. truepay assumes no responsibility or liability for the accuracy, completeness, or reliability of any information obtained through such Background Checks, nor for any false or misleading statements provided by Users of the Platform.
(ii) Professional Licensing. truepay does not independently verify whether providers possess the expertise, qualifications, licenses, permits, or registrations necessary to perform their Jobs. Certain Jobs may legally require licensure, permits, or registrations, and performing such Jobs without proper authorization may result in penalties, fines, or other enforcement actions. Providers are solely responsible for ensuring they do not undertake prohibited Jobs. Providers seeking guidance on applicable national, state, provincial, territorial, or local laws should obtain independent legal advice. Clients are solely responsible for assessing whether a provider possesses the requisite skills and qualifications for a given Job and for confirming that the provider holds all necessary licenses, permits, or registrations, if any. Clients may consult relevant legal authorities to determine whether specific Jobs must be performed by licensed or otherwise registered professionals.
D. Service Agreement.
The Platform enables Users to search for providers and clients and create jobs with other Users. Upon selecting a provider to perform a Job, the Client and the provider may communicate through the Platform’s chat feature (the “Chat Thread”) to clarify the scope, schedule, and other pertinent details of the Job, including, without limitation, any specific hazards, obstacles, or conditions at the Job location (whether visible or hidden) that could affect performance. These terms are also outlined as conditions when a job is being transacted. Once the job is approved by the provider, a legally binding contract is formed between the Client and the provider (the “Service Agreement”), which incorporates the terms proposed and accepted in the Chat Thread, job conditions outlined, along with any additional terms mutually agreed upon by the parties. Both the Client and the provider agree to adhere to the Service Agreement and to the terms of this Agreement throughout the engagement, performance, and completion of the Job. Providers are solely responsible for exercising independent business judgment when entering into Service Agreements and performing Jobs, and acknowledge that they assume the risk of profit or loss. truepay is not a party to any Service Agreement and shall have no responsibility or liability in connection with any Service Agreement under any circumstances.
E. Other Parties
(i) Provider Assistants. With the Client’s prior approval in the Chat Thread for a given Job, providers may engage assistants, helpers, subcontractors, or other personnel (collectively, “Provider Assistants”) to perform all or any portion of the Job; provided that each Provider Assistant is registered on the Platform and satisfies all requirements applicable to providers under this Agreement. The provider assumes full and exclusive responsibility for the actions and omissions of any Provider Assistants in connection with the performance of Jobs, including, without limitation: (a) the lawful payment of all compensation, benefits, and expenses for such Provider Assistants; (b) all applicable tax withholdings and contributions for such Provider Assistants; and (c) ensuring that all Provider Assistants maintain active registration as providers on the Platform.
(ii) Client Agents. If a Client authorizes a third party to book a Job on the Client’s behalf or to be present in the Client’s place during the Job, such third party is deemed a “Client Agent,” and the Client is deemed to have granted the Client Agent authority to act on the Client’s behalf with respect to the Job. Client Agents may provide instructions or direction to the provider regarding the performance of the Job, and the provider may follow such instructions as if given directly by the Client. The Client assumes full and exclusive responsibility for all acts and omissions of Client Agents.
Job-Related Fees. The Client shall be responsible for the following fees associated with each Job:
Platform Fees. In addition to the Job-related amounts above, Clients are responsible for:
Payment Service Provider (“PSP”).
All amounts owed and/or to be paid by any User must be paid through the PSP. The Client will be required to provide their payment method details to truepay and the PSP. The Provider will be required to set up an account with the PSP, which requires registration with the PSP, consent to the terms of service of the PSP (the “PSP Services Agreement”), and completion of a vetting process and/or account validation. truepay is not a party to any PSP Services Agreement, and has no obligations, responsibility or liability to any Provider or other party under any PSP Services Agreement
Truepay is not a payment service provider or money services business. All amounts owed must be paid through the PSP.
Sales Tax Collection and Remittance.
Users may be responsible for all applicable taxes, including VAT or other charges imposed on Jobs or Platform fees. In some jurisdictions, truepay may be required to collect or report tax-related information to authorities. Users agree that truepay may issue receipts or documentation on their behalf to facilitate tax compliance and may pause account access until required information is provided.
Notwithstanding the foregoing:
From time to time, truepay may make available certain optional promotional codes, contests, or other promotional opportunities to Users. All such promotions are offered solely at truepay’s discretion and are subject to any terms and conditions established by truepay. truepay reserves the right to modify, suspend, or terminate any promotion or contest at any time, without prior notice. Any liability of truepay or its affiliates in connection with these promotions or contests is governed by, and limited in accordance with, Section 13 of these Terms.
The Platform may include profiles, messaging systems, blogs, forums, message boards, reviews, ratings, job listings, chat areas, news groups, communities, and/or other interactive or communication features (collectively, “Public Areas”) that enable Users to communicate with one another. Users may only use these Public Areas to post or exchange messages and materials that are appropriate and relevant to the specific forum.
All content submitted to Public Areas is public, and your name or login identifier may be visible to other Users when you post or interact. truepay does not control or monitor all activity in Public Areas and is not responsible or liable for the actions of any User with respect to any content, information, or materials posted, transmitted, or disclosed therein.
If truepay reasonably suspects or confirms that you have violated any provision of the Agreement (including, without limitation, abuse, fraud, or interference with the proper operation of the Platform), truepay may, at its sole discretion: (a) suspend your access to the Platform while conducting an investigation; and/or (b) deactivate your account or impose limitations on your use of the Platform upon confirming a breach. truepay will provide you with written notice of its determination in accordance with applicable law. You may appeal any such determination by submitting a written request to truepay at support@truepayapp.com within 7 days of receipt of the notice, clearly stating the grounds for your appeal.
If your account is suspended, deactivated, or restricted under this Section, you are prohibited from registering or creating any new account using alternative usernames, identities, or contact information—whether in your name, a third party’s name, or any business name—regardless of whether you act on behalf of another party.
A. User-Generated Content.
You are solely responsible for any content, materials, or submissions you provide, post, or make available on or through the Platform (“User Generated Content”). truepay may, at its discretion, (a) review or monitor User Generated Content, (b) remove or restrict access to any User Generated Content that violates the Agreement, and/or (c) exercise no obligation to monitor or review such content.
By submitting User Generated Content, you grant truepay a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, sublicensable, transferable license to use, reproduce, distribute, transmit, display, perform, adapt, modify, translate, create derivative works from, and otherwise exploit such content in any media or technology now known or later developed, including in connection with marketing, promotion, or publicizing the Platform, without further consent or compensation to you. This license includes the right to use your name, username, image, likeness, voice, screen name, and other identifying information (“Likeness”) in connection with your use of the Platform.
You represent and warrant that:
You waive any moral rights associated with your User Generated Content and release truepay and its affiliates from any claims arising from the use of your User Generated Content or Likeness, including unknown claims under applicable law.
truepay may, at its discretion, disclose your identity to third parties alleging infringement of rights, so such parties can seek resolution. Users must report any User Generated Content that promotes crimes, incites violence or hatred, or involves child exploitation to help.tr.co.
B. Feedback.
Feedback, including reviews and ratings of Providers, reflects the opinions of the User submitting it and has not been verified, endorsed, or approved by truepay. truepay may, but is not obligated to, remove or modify Feedback that violates the Agreement or the truepay Ratings and Reviews Guidelines. Users may request removal of such Feedback by contacting support@truepayapp.com
9. Proprietary Rights
The Platform and all content, materials, software, designs, interfaces, and other elements provided by truepay (collectively, “Proprietary Material”), excluding User Generated Content and third-party content, are owned by truepay and protected under copyright, patent, trademark, and other intellectual property laws. Use of Proprietary Material is permitted only as expressly authorized under the Agreement.
All service marks, logos, and trademarks of truepay (the “Marks”) are owned exclusively by truepay. Users may not copy, use, or display the Marks without prior written consent. Other trademarks on the Platform are the property of their respective owners and require their consent for use.
10. Third-Party Links
The Platform may include links to third-party websites, advertisements, or external content. Such links are provided for convenience and reference only and do not imply endorsement or association by truepay. Users access and use third-party websites at their own risk, and truepay disclaims all liability related to third-party sites or transactions. truepay may, but is not obligated to, monitor or remove third-party links.
11. Copyright Complaints and DMCA
If you believe that content on the Platform infringes your copyright, you may submit a notice to truepay’s DMCA Agent at support@truepayapp.com including:
Submitting false or misleading claims may result in penalties under U.S. law. truepay will handle repeat infringers in accordance with the DMCA, including potential termination of accounts or limiting Platform access. This procedure is intended to comply with DMCA obligations and does not constitute legal advice.
12. Disclaimer of Warranties
Your use of the Platform is entirely at your own risk. THE PLATFORM, INCLUDING ALL TECHNOLOGY, SOFTWARE, AND SERVICES MADE AVAILABLE THROUGH IT, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, WORKMANLIKE SERVICES, COMPLIANCE WITH LAWS, OR NON-INFRINGEMENT.
TO THE FULLEST EXTENT PERMITTED BY LAW, TRUEPAY AND ITS AFFILIATES (INCLUDING PARENTS, LICENSORS, OFFICERS, EMPLOYEES, AGENTS, AND OTHER REPRESENTATIVES, COLLECTIVELY, THE “TRUEPAY PARTIES”) EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES OR REPRESENTATIONS REGARDING:
The Truepay Parties do not warrant that the Platform will be error-free, uninterrupted, or free from viruses, malware, system failures, or other harmful components, including through links to third-party websites. The truepay Parties do not endorse, guarantee, or assume responsibility for any products or services offered by third parties through the Platform.
Certain jurisdictions may not allow the exclusion of implied warranties, so some disclaimers above may not apply to you. These terms do not limit rights that cannot legally be waived.
13. Limitation of Liability
By using the Platform, you acknowledge and agree that, to the maximum extent permitted by law, the Truepay Parties will not be liable for any direct, indirect, incidental, consequential, exemplary, or other damages arising from your use of, inability to use, or reliance on the Platform, including but not limited to lost profits, data loss, service interruptions, or costs of substitute services.
If liability cannot be excluded, the total aggregate liability of the truepay Parties will not exceed:
Exceptions apply for liability that cannot be excluded under applicable law, including death or personal injury caused by truepay, or gross negligence or willful misconduct by truepay, as required by local law.
14. Indemnification
You agree to indemnify, defend, and hold harmless the Truepay Parties from any and all claims, losses, liabilities, damages, and expenses arising from your use of the Platform or violation of the Agreement.
truepay may, at its discretion, assume exclusive control of any matter subject to indemnification, and you may not settle such matters without prior written consent.
15. Dispute Resolution
To resolve disputes efficiently, you may attempt informal negotiations with truepay before initiating arbitration, mediation, or court proceedings. Written notice of disputes should be sent to your account email with a copy to truepay at the address provided on the Platform.
16. App Store-Sourced Apps
If you access or download any truepay App via the Apple App Store or Google Play Store, you agree to comply with the respective platform’s End User License Agreement or Terms of Service.
17. Changes to the Agreement, Platform, and App
A. Changes to the Agreement:
truepay may, at any time, modify, supplement, suspend, or discontinue any portion of the Agreement, including these Terms, Privacy Policy, and Supplemental Terms. Notice may be provided via the Platform, email, or other reasonable means. Continued use constitutes acceptance of changes. Material changes will be communicated in advance, and if unacceptable, you must stop using the Platform and deactivate your account.
B. Changes to the Platform:
truepay may, at any time and without liability, update, upgrade, restrict, or discontinue any portion of the Platform.
C. Mobile App Updates and Upgrades:
By installing the App, you consent to automatic updates and upgrades. Such updates may affect device settings, collect usage data, or transmit information to truepay servers. You may uninstall the App at any time.
18. No Rights of Third Parties
The Agreement is intended solely for the benefit of truepay and you, the User, and your permitted successors and assigns. No other third parties have rights under this Agreement, except that truepay may enforce provisions on behalf of its Affiliates. In the United Kingdom, the Contracts (Rights of Third Parties) Act 1999 does not grant rights to non-parties, except that a Client’s Agent may act on behalf of the Client.
19. Notices and Consent to Receive Notices Electronically
Unless stated otherwise, all notices, agreements, disclosures, or communications (“Notices”) under this Agreement will be in writing and are deemed delivered when:
You consent to receive Notices electronically, including by email or posting on the Platform. Electronic delivery satisfies any legal requirement for written communication.
20. Consent to Electronic Signatures
By using the Platform, you agree that:
21. Governing Law
This agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to conflict of laws principles.
22. Notices
The Platform, websites, and Apps are owned and operated by truepay, inc., a Delaware-registered company.

23. General Provisions
a. Relationship of the Parties:
The Agreement does not create any agency, partnership, joint venture, employment, or franchise relationship. Users cannot act as agents or bind truepay.
b. Entire Agreement:
This Agreement, including incorporated terms, is the complete and exclusive agreement between you and truepay regarding your use of the Platform. It supersedes prior communications, except for separate agreements concerning other services (e.g., IKEA Pre-paid Assembly Service Terms). Provisions are intended to be valid, legal, and enforceable.
c. Severability and Waiver:
If any provision is found invalid, illegal, or unenforceable, it will be modified or removed without affecting the remaining provisions. Failure by truepay to enforce any term is not a waiver of rights.
d. Assignment:
truepay may assign or transfer the Agreement without your consent, notifying you where required by law. Upon assignment, truepay is released from obligations post-assignment, and the assignee assumes responsibility. You may not assign the Agreement without written approval; any unauthorized assignment is void.
e. Survival:
Provisions intended to survive termination or expiration remain in effect.
f. Language:
The Agreement is drafted in English. If translations exist, the English version prevails.
24. Dispute Resolution
Except as otherwise required under applicable law, you and truepay agree that any arbitration will be limited to the Claim between truepay (and/or, if applicable, its Affiliates) and you individually. YOU ACKNOWLEDGE AND AGREE THAT YOU AND TRUEPAY ARE EACH WAIVING THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING (“Class Action Waiver”). Further, unless both you and truepay otherwise agree, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of any class or representative proceeding. The arbitrator shall have no authority to consider or resolve any Claim or issue any relief on any basis other than an individual basis.
